We will always do our best to fulfil your needs and meet your goals, but sometimes it is best to have a few simple things written down so that we both know what is what, who should do what and what happens if things go wrong. In this contract you won’t find complicated legal terms or large passages of unreadable text. We have no desire to trick you into signing something that you might later regret. We do want what’s best for the safety of both parties, now and in the future.
Online Marketing Services
Between Inbound Marketing and The Client (signee)
You (the Client) are hiring Inbound Marketing Pty Ltd to conduct Marketing Services within a Done-For-You Marketing Program as per the agreed payment plan and previous correspondance.
Summary of Terms
1. Delivery of Services.
Inbound Marketing Pty Ltd agrees to provide The Client with the agreed Platinum Done-For-You Program over the agreed period with the aim to grow the business.
2. Services Terms
Inbound Marketing Pty Ltd may employ proprietary positioning techniques, coding and other resources, as it deems necessary to improve the Client’s positioning.
Inbound Marketing Pty Ltd will provide detailed reports as required by this agreement and shall endeavor to provide the reports to Client in a timely manner. Client acknowledges that any reports provided by Inbound Marketing Pty Ltd are to be considered estimates based on industry standard reporting software and techniques and shall never be construed as an exact counting of each and every submission.
Client acknowledges the following with respect to services:
a) Inbound Marketing Pty Ltd accepts no responsibility for policies of third-party search engines, directories or other Web Sites (“Third-party resources”) that Inbound Marketing Pty Ltd may submit to with respect to the classification or type of content it accepts whether now or in the future. Client’s Web Site or content may be excluded or banned from any Third-party resource at any time. Client agrees not to hold Inbound Marketing Pty Ltd responsible for any liability or actions taken by Third-party resources under this Agreement.
b) Client acknowledges that the nature of many of the resources Inbound Marketing Pty Ltd may employ under this Agreement are competitive in nature. Inbound Marketing Pty Ltd does not guarantee #1 positions, consistent positioning, “top 10 positions” or guaranteed placement for any particular keyword, phrase or search term. Client acknowledges that Inbound Marketing Pty Ltd ’s past performance is not indicative of any future results Client may experience.
c) Client acknowledges that SEO and submissions to search engines and directories can take an indefinite amount of time for inclusion, unless paid inclusion programs are employed. Each edit or change made to any resources employed by Inbound Marketing Pty Ltd will repeat these inclusion times.
f) Inbound Marketing Pty Ltd will endeavor to make every effort to keep Client informed of any changes that they are made aware of that impact any of the SEO Services and the execution thereof under this Agreement. Client acknowledges that Inbound Marketing Pty Ltd may not become aware of changes to Third-party resources, industry changes or any other changes that may or may not affect SEO services. Inbound Marketing Pty Ltd is not responsible for any down time, lost files, improper links or any other loss that may occur in the operation of SEO.
g) Inbound Marketing Pty Ltd reserves the exclusive right, for the duration of this Agreement, to approve or disapprove any design strategies, existing code or other techniques, whether requested by Client or presently employed by Client that are considered by Inbound Marketing Pty Ltd to be detrimental to SEO and the execution of Inbound Marketing Pty Ltd ’s services under this Agreement.
Client agrees to the following:
a) Client will provide Inbound Marketing Pty Ltd with FTP, administrative and all backend access to the main site for uploading new pages, and making changes for the purpose of optimisation.
b) Client authorizes Inbound Marketing Pty Ltd use of all Client logos, trademarks, Web site images, etc., for use in creating informational pages and any other uses as deemed necessary by Inbound Marketing Pty Ltd for search engine positioning and optimisation. Client authorizes Inbound Marketing Pty Ltd to make changes for the purpose of optimisation and to communicate directly with any third parties if necessary. Client warrants that everything it provides Inbound Marketing Pty Ltd to employ in marketing strategies is legally owned or licensed to Client. Client agrees to indemnify and hold Inbound Marketing Pty Ltd harmless from any and all claims brought by any third-party relating to any aspect of marketing services.
c) If Client’s site is lacking in textual content, Client will provide additional text content in electronic format for the purpose of creating additional or richer web pages. Inbound Marketing Pty Ltd may create site content at additional cost to the Client.
d) Inbound Marketing Pty Ltd will have the exclusive rights in making any derivative works from any of its work, practices, coding, programming or other work in regards to the marketing services.
e) Client authorises Inbound Marketing Pty Ltd to establish Social Media profiles and agrees to maintain these social assets and is responsible for the monitoring of tweets, comments or social communications by any third parties on these social media profiles.
4. Payment Terms
The Client agrees to commit to a minimum term as detailed in previous correspondance provided by Inbound Marketing Pty Ltd for a monthly fee. After this time, if The Client decide to end the services, written notification is required with 30 days notice for the cancellation of future marketing services.
5. Confidentiality
The Client and Inbound Marketing Pty Ltd acknowledge and agree that the Specifications and all other documents and information related to the development of marketing strategies (the “Confidential Information”) will constitute valuable trade secrets of Inbound Marketing Pty Ltd . The Client shall keep the Confidential Information in confidence and shall not, at any time during or after the term of this Agreement, without Inbound Marketing Pty Ltd ’s prior written consent, disclose or otherwise make available to anyone, either directly or indirectly, all or any part of the Confidential Information.
We love to show off our work and share what we have learned with other people, so we also reserve the right to display and link to your completed project as part of our portfolio and to write about the project in our marketing. Let us know if you don’t want this to happen.
Payment
We are sure you understand how important it is as a small business that you pay the invoices that we send you promptly. You’ll need to agree to adhere to the following payment schedule, which will be as follows, but may be revised based on further conversations between both parties:

Payable in 6 monthly installments = $XXXX + GST / month
But where is all the horrible small print?
Just like a parking ticket, you cannot transfer this contract to anyone else without our permission. This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.
Upon signing this agreement, the client acknowledges and accepts the terms of this agreement and that all orders associated with the client may be immediately terminated at Inbound Marketing’s discretion if any charges are declined or charge backs claimed against any outstanding invoiced amount.
